Cancellation Policy

STANDARD TERMS AND CONDITIONS FOR MABC 1. SCOPE OF SERVICES MABC agrees to provide the services described in the signed Statement of Work (SOW) or Proposal. Any changes to the scope must be agreed upon in writing by both parties. 2. FEES AND PAYMENT Invoicing: Invoices will be issued Upon Milestone Completion. Payment Terms: Payment is due within 7 days of the invoice date. Late Payments: Late payments may incur interest at a rate of 10% per month. Expenses: The Client shall reimburse the MABC for pre-approved travel and out-of-pocket expenses. 3. TERM AND TERMINATION Term: This agreement begins on the agreed date and continues until the services are completed. Termination for Convenience: Either party may terminate this agreement with 30 days’ written notice. Termination for Cause: Either party may terminate immediately if the other party breaches a material term of this agreement. 4. INTELLECTUAL PROPERTY (IP) Pre-existing IP: MABC retains ownership of any methodologies, tools, or templates owned prior to this agreement. Deliverables: Upon full payment, the Client receives a exclusive license to use the final deliverables specifically created for them. 5. CONFIDENTIALITY Both parties agree to keep all non-public, sensitive information shared during the engagement confidential. This obligation survives the termination of the agreement. 6. LIMITATION OF LIABILITY To the maximum extent permitted by law, the MABC's total liability for any claims arising out of this agreement is limited to the total fees paid by the Client under the applicable SOW. 7. INDEPENDENT CONTRACTOR STATUS MABC is an independent contractor, not an employee, partner, or agent of the Client. MABC is responsible for their own taxes and insurance. 8. GOVERNING LAW This agreement shall be governed by and construed in accordance with the laws of the United Kingdom.
